Welcome, and thank you for your interest in OC Brand Media (“OC Brand Media,” “we,” or “us”) and our website at http://www.OCBrandMedia.com/ (the “Site”). These Terms of Use (“Terms”) are a legally binding contract between you and OC Brand Media regarding your use of the Site including without limitation all content and/or materials available on or through the Site. Please note that these Terms only apply to the Site, and other services owned by OC Brand Media may have separate terms governing their use.

1. Eligibility
You must be at least thirteen (13) years of age to use the Site. By agreeing to these Terms, you represent and warrant to us: (i) that you are at least thirteen (13) years of age; (ii) that you have not previously been suspended or removed from the Site; and (iii) that your registration and your use of the Site is in compliance with any and all applicable laws and regulations. If you are using the Site on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind such organization to these Terms and you agree to be bound by these Terms on behalf of such organization.
 



2. Accounts and Registration
If you are an advertiser or publisher, you must register for an account to use specific functionality related to your account. When you register for an account, you may be required to provide us with some information about yourself (such as your e-mail address or other contact information). You agree that the information you provide to us is accurate and that you will keep it accurate and up-to-date at all times. When you register, you will be asked to provide a password. You are solely responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account. If you have reason to believe that your account is no longer secure, then you must immediately notify us at support@OCBrandMedia.com.
 



3. Prohibited Conduct
BY USING THE SITE YOU AGREE NOT TO:
Use the Site for any illegal purpose, or in violation of any local, state, national, or international law;Interfere with security-related features of the Site, including without limitation by (i) disabling or circumventing features that prevent or limit use or copying of any content, or (ii) reverse engineering or otherwise attempting to discover the source code of the Site or any part thereof except to the extent that such activity is expressly permitted by applicable law;Interfere with the operation of the Site or any user's enjoyment of the Site, including without limitation by interfering with or disrupting any networks, equipment, or servers connected to or used to provide the Site, or violating the regulations, policies, or procedures of such networks, equipment, or servers; Violate, or encourage others to violate, the rights of third parties, including by infringing or misappropriating third party intellectual property rights; Remove any copyright, trademark or other proprietary rights notices contained in or on the Content (as defined below) or the Site; Sell or otherwise transfer the access granted herein or any Content or Materials (as defined below) or any right or ability to view, access, or use any Content or Materials; or Attempt to do any of the foregoing in this Section 2, or assist or permit any persons in engaging or attempting to engage in any of the activities described in this Section 2.

ACCESS AND USE OF LINKED SITES, INCLUDING THE INFORMATION, MATERIAL, PRODUCTS, AND SERVICES ON LINKED SITES OR AVAILABLE THROUGH LINKED SITES, IS SOLELY AT YOUR OWN RISK.
 



5. Termination of Use; Discontinuation and Modification of the Site
If you violate any provision of these Terms, your permission to use the Site will terminate automatically. Additionally, OC Brand Media, in its sole discretion, may suspend or terminate your access to the Site at any time, with or without notice. We also reserve the right to modify or discontinue the Site at any time (including, without limitation, by limiting or discontinuing certain features of the Site) without notice to you. You agree that any termination of these Terms or termination or suspension of your access to or use of the Site may be effected without prior notice, and you agree that OC Brand Media will have no liability whatsoever on account of any change to the Site or any suspension or termination of your access to or use of the Site.
 



6. Privacy Policy; Additional Terms
Privacy Policy. OC Brand Media takes the privacy of its Users very seriously. OC Brand Media's Privacy Policy, which can be found at http://www.privacy.OCBrandMedia.com, is hereby incorporated into these Terms by reference. Please read the Privacy Policy carefully for information relating to OC Brand Media's collection, use, and disclosure of your personal information, including through our advertising platform. Additional Terms. Your use of the Site is subject to any and all additional terms, policies, rules, or guidelines applicable to the Site or certain features of the Site that we may, from time to time, post on or link to on the Site (the “Additional Terms”), such as terms of use or end-user license agreements for any downloadable applications or services that we may offer, or rules applicable to particular features or content on the Site, subject to Section 7 below. Furthermore, all trademarks, service marks, and trade names contained in the Materials are proprietary to OC Brand Media or our third-party licensors. Your use of the Site does not grant to you ownership of any content, code, data or any part of the Materials you may access on or through the Site. Except as expressly authorized by OC Brand Media, you may not make use of the Materials. Any commercial or promotional distribution, publishing or exploitation of the Materials is strictly prohibited unless you have received the express prior written permission from OC Brand Media or the otherwise applicable rights holder. OC Brand Media reserves all rights to the Materials not granted expressly in these Terms. Ownership of Content. You expressly acknowledge that you do not acquire any ownership rights by downloading any copyrighted material from or through the Site. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (and without limiting your indemnification obligations with respect to such matter), and in such case, you agree to cooperate with our defense of such claim.

IN NO EVENT WILL THE OC BRAND MEDIA ENTITIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SITE OR ANY MATERIALS OR CONTENT ON THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE OR ANY OTHER LEGAL THEORY, WHETHER OR NOT THE OC BRAND MEDIA ENTITIES OR AN AUTHORIZED REPRESENTATIVE OF OC BRAND MEDIA HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
YOU AGREE THAT THE AGGREGATE LIABILITY OF THE OC BRAND MEDIA ENTITIES TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF RELATING TO THE USE OF OR ANY INABILITY TO USE THE SITE (INCLUDING ANY MATERIALS OR CONTENT AVAILABLE THROUGH THE SITE) OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO $100.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. ACCORDINGLY, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
EACH PROVISION OF THESE TERMS THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS TO ALLOCATE THE RISKS UNDER THESE TERMS BETWEEN THE PARTIES. THIS ALLOCATION IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. EACH OF THESE PROVISIONS IS SEVERABLE AND INDEPENDENT OF ALL OTHER PROVISIONS OF THESE TERMS. THE LIMITATIONS IN THIS SECTION 11 WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
 



12. Governing Law
These Terms shall be governed by the laws of the State of California without regard to conflict of law principles. To the extent that any lawsuit or court proceeding is permitted hereunder, you and OC Brand Media agree to submit to the personal and exclusive jurisdiction of the state courts and federal courts located within San Francisco, California for the purpose of litigating all such disputes.
 



13. General
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire and exclusive understanding and agreement between you and OC Brand Media regarding your use of and access to the Site, and except as expressly permitted above may be amended only by a written agreement signed by authorized representatives of all parties to these Terms. You may not assign or transfer these Terms or your rights hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice. A provision of these Terms may be waived only by a written instrument executed by the party entitled to the benefit of such provision. The failure to require performance of any provision will not affect our right to require performance at any time thereafter, nor shall a waiver of any breach or default of these Terms or any provision of these Terms constitute a waiver of any subsequent breach or default or a waiver of the provision itself. Use of section headers in these Terms is for convenience only and shall not have any impact on the interpretation of particular provisions. In the event that any part of these Terms is held to be invalid or unenforceable, the unenforceable part shall be given effect to the greatest extent possible and the remaining parts will remain in full force and effect. Upon termination of these Terms, any provision that by its nature or express terms should survive will survive such termination or expiration, including, but not limited to, Sections 4, and 8 through 15.
 



14. Notice; Consent to Electronic Communications
Legal notices may be served, with respect to OC Brand Media and the Site, to support@OCBrandMedia.com, and, with respect to you, either (i) to any email address you have provided to OC Brand Media, or (ii) through a pop-up or other similar means on the Site. Notice will be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid, or in the case of updates to the Site, upon your next use of the Site. By using the Site, you agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

(“OC Brand Media,” “we,” “us,” “our”) know that our users (“you,” “your”) care about how your personal information is used and shared, and we take your privacy seriously. Please read the following OC Brand Media Privacy Policy (the “Privacy Policy”). By visiting or using the www.OC Brand Media.com website or application, and any other linked pages, features, content, or any other services we offer from time to time in connection therewith (collectively, “OC Brand Media”), you acknowledge that you accept the practices and policies outlined in this Privacy Policy, and you hereby consent that we will collect, use, and share your information in the following ways. This Privacy Policy only applies to products and services related to OC Brand Media; other products and services provided by OC Brand Media may be governed by separate privacy policies.



I. What Does This Privacy Policy Cover?
This Privacy Policy summarizes OC Brand Media’s collection and handling of various categories of information from our users.
Personal Information. This Privacy Policy covers our treatment of THE LIMITED TYPES OF “PERSONAL INFORMATION” (INFORMATION THAT ALLOWS THE IDENTIFICATION OF A SPECIFIC INDIVIDUAL) OC BRAND MEDIA MAY COLLECT. SEE SECTION II FOR DETAILS.
INFORMATION THAT IS Not Personal. It also does not apply to information that is not personally identifiable, a category which includes information that would be personally identifiable for a specific individual when standing alone, but that has been combined with the corresponding information of many other individuals (aggregated) and stripped of any individually identifying characteristics (anonymized or de-identified).
Other Entities. This policy does not apply to the practices of companies that we do not own or control, or to individuals that we do not employ or manage.
No Children. OC Brand Media does not knowingly collect or solicit any kind of Personal Information at all from children, i.e., anyone under the age of 13, and we do not knowingly allow such persons to register. If you are under 13, please do not attempt to register for OC Brand Media or send any information about yourself to us, including your name, address, telephone number, or email address. No one under age 13 may provide any Personal Information to OC Brand Media or through OC Brand Media. In the event that we learn that we have collected Personal Information from a child under age 13 without verification of parental consent, we will delete that information as quickly as possible. Information Originating Outside Of The United States. If you are located outside the United States and choose to provide information to us, that information is provided to OC Brand Media in the United States, and may be and processed and stored in the United States and otherwise outside of your country of residence, by OC Brand Media and by third parties with whom we share Personal Information in accordance with this Privacy Policy (as set forth in Section III below). By using OC Brand Media, you consent to the collection, transfer, use, storage and disclosure of your information as described in this Privacy Policy, including to the export of your Personal Information outside of your country of residence.



II. What Information Does OC Brand Media Collect?
We gather specific and limited types of Personal Information from our users, as explained more fully below. We may use this Personal Information to personalize and improve the OC Brand Media experience, to allow our users to set up a user account and profile, to contact users, to fulfill your requests for certain products and services, to analyze how users utilize OC Brand Media, and as otherwise set forth in this Privacy Policy. We may share certain types of Personal Information with third parties (as set forth in this Section and in Section III below).
We collect the following types of information:



A. Information You Provide to Us:
1. General Information. We receive and store information you knowingly provide to us. For example, during the registration process for a OC Brand Media user account, we collect Personal Information such as your email address and age. We may collect other Personal Information you provide us through your use of OC Brand Media – for example, if you respond to a survey or otherwise interact with OC Brand Media, or if you contact Customer Service. In addition, if you create a publisher or development account we will ask you for additional information such as phone number, address, financial information and SSN. You can choose not to provide us with certain information, but then you may not be able to take advantage of many of our special features or OC Brand Media services.
2. Location Information. We may make offers available to you that ask you for, access, or track geolocation-based information from your mobile device while downloading or using our mobile application(s) or our services. If we make these offers available to you, and you consent to enable such services, we will receive information about your location which we may collect and use to provide you with the requested services including geographically relevant features, offers, applications, and application recommendations.
3. Device ID. To provide you with certain features, such as tracking virtual rewards, organizing OC Brand Media-related applications, and providing you with additional application recommendations, OC Brand Media collects and uses identifiers that uniquely identify, or approximate the identification of, your device, which may include Android ID, ID for Advertising (IDFA), or MAC address (collectively, “Device ID”). OC Brand Media may also exchange Device ID and device type information with our publisher and advertiser partners to fulfill your requests for certain products and services — for instance, with game publishers as necessary for tracking and crediting your virtual rewards for a game.
4. For Publishers and Advertisers. Different information may be needed to register for a Publisher or Advertiser account; in addition to collecting your email address, we also provide you with the option of providing us with additional information such as name and address as well as financial information such as Tax ID, VAT or sales tax registration number or any other relevant tax number and credit card information. If you choose to provide us with sensitive financial information (such as a credit card number) we encrypt the transmission of that information using secure socket layer technology (SSL), and utilize a credit card processing company to process your payment information. (This Section 4 applies to application publishers and for advertisers; it does not apply to you unless you are a publisher or advertiser who partners with us.)
We also provide Publishers or Advertisers with the option of adding users to your Publisher or Advertiser account. When you do so we will collect the email address of the individual you wish to add. We will then send that individual a one-time email informing them they have been added. If you have been added to an account and wish to no longer have your email address used you may contact us at support@Ocbrandmedia.com.
5. Referrals. If you choose to use our referral service to invite a friend to OC Brand Media, we will ask you for your friend’s email address. We will automatically send your friend a one-time email inviting him or her to visit OC Brand Media. We store this information for the sole purpose of sending this one-time email and tracking the success of our referral program.
6. Customer Support. Clear gifs are tiny graphics with a unique identifier, similar in function to cookies, and are used to track the online movements of web users. In contrast to cookies, which are stored on a user’s computer hard drive, clear gifs are embedded invisibly on web pages and are about the size of the period at the end of this sentence. By way of example, and depending on the privacy settings you have chosen at a given SNS, you might interact with friends who are also members of that SNS by automatically sharing your game reviews or other OC Brand Media activity through the SNS (e.g., in the case of Facebook, by choosing to have your OC Brand Media reviews automatically posted on your Timeline or choosing to use Facepile to post the Facebook profile pictures of users who have connected with your page), or by keeping up on your friends’ OC Brand Media activity through their own automatic SNS account postings (e.g., on their updates shown on your Facebook Newsfeed).
If you are not currently registered with OC Brand Media, you can use Facebook Connect to register; when you click on “Sign in Using Facebook”, you will first be asked to enter your Facebook credentials and then be given the option to register and join OC Brand Media. Once you register on OC Brand Media and connect your Facebook credentials, you will be able to automatically post recent activity back to Facebook (i.e., on your Facebook Wall or Timeline). You have the option to disable Facebook Connect or similar SNS services at any time by logging into “My Profile” on your OC Brand Media account and clicking on “Social Settings”. You can also edit your privacy settings on the SNS itself (such as Facebook) to control the extent to which your activity on OC Brand Media appears on Facebook, or to disconnect the Facebook Connect service, by visiting the Facebook Application Settings page.



IV. Is Personal Information About Me Secure?
Your account is protected by a password for your privacy and security. You need to prevent unauthorized access to your account and Personal Information by selecting and protecting your password appropriately and limiting access to your computer and browser by signing off after you have finished accessing your account.
